1. Subject matter and contractual documents
These terms govern access to Brunel and the subscription of its services from the publisher identified in the legal notices. The 'client' refers to the natural or legal person who uses the service or orders a service. The 'professional client' acts for the needs of its activity.
The characteristics, rates and limits of the selected offer are those presented at the time of the order. An Enterprise offer, an audit or a specific service may be subject to a quote, a purchase order and special conditions accepted by the parties. Special conditions prevail in case of contradiction, without excluding a mandatory legal provision.
The paid subscription includes an explicit acceptance; the version and date of this acceptance are recorded. The publication of a new version does not, in itself, constitute acceptance by an existing client.
2. Scope and results of the service
Brunel analyzes the deposits selected by the client and produces technical findings, architectural proposals, estimates and configuration files. The available features depend on the offer, the quotas and the integrations actually activated.
Cloud prices are catalog estimates. Actual billing depends in particular on volumes, region, traffic, options, taxes and the evolution of supplier rates. An estimate does not constitute a cost guarantee or an automatic spending cap.
The analyses and recommendations may use artificial intelligence models. Despite the controls applied, they may contain errors or omissions. The client must organize the technical review, tests and authorization for production. An unavailability of AI may result in deterministic processing, limitation or postponement, depending on the function concerned.
The design of an architecture does not create the proposed resources. Any deployment or GitHub writing operation requires an action by the client and the corresponding rights. A cloud audit is executed within the scope, access window and permissions defined in its contract; it does not constitute a certification or guarantee of absence of vulnerability.
4. Offers, order and Enterprise terms
Standard offers are presented on the page Pricing. The amounts, periodicity, applicable taxes and included functions are specified at the time of the order. The publisher's tax regime is detailed in the legal notices. The infrastructure costs billed by cloud providers remain distinct from Brunel's price.
For an Enterprise offer, the scope must specify the users, teams, integrations, volumes, support modalities and any localization or security requirements. No service level, permanent support, recovery time or dedicated environment is included without express commitment in the special conditions.
Functionalities announced as future, experimental or subject to activation do not constitute a contractual deliverable, unless expressly stipulated. An audit order or an extension of the scope must be accepted before its execution.
5. Payment and billing
Online payments are processed by Stripe. Brunel does not retain full card numbers or cryptograms. The standard subscription is billed according to the announced periodicity and renews until its termination. Specific services follow the deadlines agreed in the quote or contract.
The client provides accurate billing information. In case of payment failure, they are invited to regularize the situation. A suspension for non-payment may occur after information and a reasonable delay, except in case of fraud or security requirement.
For invoices subject to French law between professionals, late payment penalties are due from the day following the due date, at the rate provided for in the contract and at least equal to three times the legal interest rate. The flat-rate recovery fee is 40 euros per invoice; additional compensation may be requested on proof when the costs incurred are higher.
6. Duration, renewal and termination
A monthly subscription is concluded for a period of one month, then automatically renewed according to the terms of the offer. The client can request termination from the billing management of their account or contact the publisher in case of difficulty. Standard termination takes effect at the end of the already paid period.
Except for legal right, non-performance attributable to the publisher or special agreement, a started period does not entitle to prorated reimbursement. A fixed-term service or an Enterprise commitment follows the expressly agreed termination modalities.
The end of the contract does not remove the confidentiality obligations, the sums due or the legal retention periods. The client must organize the export of their data before deleting their account. The deletion modalities and the limits related to backups are described in the privacy policy.
7. Confidentiality and ownership of contents
The client retains their rights over the deposits, data and contents submitted. They grant the publisher only the authorizations necessary for the execution of the service and the integrations they activate. No right of autonomous commercial exploitation of their deposits is transferred.
Each party protects the non-public information received from the other and limits access to the persons or service providers who need it. This obligation does not cover information already public, obtained lawfully from a third party, developed independently or whose communication is imposed by law. Recipients remain subject to the applicable confidentiality obligations.
The generated files can be used and modified by the client for professional purposes. The licenses of the software and third-party components continue to apply. Access to the service does not transfer the rights to its code, brand or interfaces.
8. Personal data and subcontracting
The confidentiality policy describes the processing related to accounts, security, billing and service features. When processing personal data on behalf of a client company, the publisher acts on its instructions within the agreed scope.
The commitments specific to this relationship must be documented in accordance with Article 28 of the GDPR. The data processing framework presents the proposed clauses; it becomes contractual when it is incorporated into the agreement accepted by the parties. A functional list of service providers completes this information.
The customer must not transmit special categories of data, production secrets or data subject to sectoral regulation without prior examination and agreement. Subscribing to an offer does not automatically approve regulated processing.
9. Availability, security and responsibility
The publisher implements reasonable means to operate the service and protect the data. Interruptions may result from maintenance, an incident, a third-party supplier or a case of force majeure within the meaning of Article 1218 of the Civil Code. The availability commitments and possible remedies are those of the expressly concluded contract.
Each party is liable for the shortcomings attributable to it under the applicable law. The specific liability limits for professional clients, where they exist, must be agreed in the special conditions. No provision excludes liability in the event of fraud, gross negligence, bodily harm or other situation for which the law prohibits limitation.
The customer remains responsible for the decisions and modifications it authorizes in its systems. This responsibility does not relieve the publisher of its own contractual and legal obligations.
10. Provisions applicable to consumers
The mandatory consumer protections remain applicable when the customer acts for non-professional purposes. For an eligible distance subscription, he has fourteen days to exercise his right of withdrawal from the conclusion of the contract, in accordance with Article L221-18 of the Consumer Code.
The express request for immediate commencement of the service is collected separately upon subscription. It does not, in itself, remove the right of withdrawal. In the event of withdrawal, an amount proportionate to the service provided may only be retained if the legal conditions of Article L221-25 are met.
The request can be sent to contact@brunel.cloud indicating the subscription concerned, the subscription date, the identity of the holder and his wish to withdraw. The refund is made within the legal period of fourteen days, according to the applicable rules.
The legal guarantee of conformity of digital content and services applies under the conditions provided for in Articles L224-25-12 et seq. of the Consumer Code. The professional provisions of these terms and conditions do not reduce these rights.
11. Complaints and dispute resolution
A complaint can be sent to contact@brunel.cloud. The parties first seek an amicable resolution by precisely describing the facts and useful elements. This approach does not limit legal remedies or deadlines.
Consumer mediation: the competent body and its contact details are to be finalized by the publisher. No mediator is presented as designated to date. This obligation must be fulfilled before the opening of an offer to consumers; it does not deprive them of their legal remedies.
The contract is subject to French law, subject to the mandatory provisions applicable. In the absence of an amicable agreement, the competent courts are determined according to the legal rules. No exclusively competent court is imposed on the consumer by these conditions.
12. Evolution of the conditions
A substantial modification affecting a current subscription, in particular a tariff or an essential obligation, is notified on a durable medium at least thirty days before its entry into force, except in the case of a legal requirement or an urgent security measure. The customer may refuse this modification by terminating before its application, under the conditions indicated in the notification.
The signed special conditions are not modified by a simple update of the site. The version accepted during an order remains a contractual reference; new orders are subject to the version presented at the time of their acceptance.
